In short
These terms apply to every purchase of a nexya Pro licence from this site. The free version is not covered: it costs nothing, needs no account and is bound by none of these clauses.
Payment is handled by Freemius, which acts as reseller and sells the licence in its own name. You get the key at once and you can move it from one site to another. Delivery is immediate, so the sale is final: no refund is given.
1. Scope
These terms of sale (the “Terms”) govern the sale of nexya Pro licences (the “Licence”) offered on nexya.dev (the “Site”). They apply to every order, wherever the buyer is located.
By placing an order you confirm that you have read and accepted the Terms, together with the terms of use and the privacy policy.
If you order on behalf of a company, you confirm that you are entitled to bind it.
2. Who sells
nexya is published by Johan Porret, 1350 Orbe, Switzerland (“we”). Contact: hello@nexya.dev.
The transaction is carried out by Freemius, Inc., acting as authorised reseller and merchant of record. Freemius collects the payment, issues the invoice, calculates and remits the taxes that apply in your country, and processes refunds. The Freemius terms apply to the transaction; where they differ on payment, invoicing or taxes, they prevail.
3. What you buy
A Licence unlocks the Pro features of every nexya module on a number of sites set by the tier you choose, for one year from purchase.

- 5 sites — CHF 399 per year
- 20 sites — CHF 799 per year
- Unlimited — CHF 1,499 per year
The number of sites means the number of sites on which Pro is active at the same time. A Licence moves: deactivate it on one site, activate it on another.
The Licence includes the updates released during its term and the e-mail support described in section 9.
4. Prices and taxes
Prices are shown in Swiss francs (CHF), exclusive of tax. Depending on your country, Freemius adds the applicable VAT or sales tax at checkout and shows it before you confirm. The amount charged in another currency depends on the rate applied by your bank or payment method.
We may change our prices at any time. The price you pay is the one shown when you order and, for each renewal, the one in force on the renewal date, of which you are informed in advance.
5. Ordering and payment
Orders are placed from the Pricing page, in the Freemius checkout window, which lists the accepted payment methods. The contract is formed when Freemius confirms the payment.
You receive the Licence key and the invoice by e-mail. Keep that address current: renewals and support go through it.
6. Delivery
The Licence is a digital product, delivered immediately after payment: the key is sent by e-mail and the Pro package is downloaded from the Freemius dashboard or installed straight from the plugin. Nothing is shipped.
7. Term and renewal
The Licence runs for one year. It renews automatically for another year at the price then in force, unless cancelled before the renewal date. You can cancel at any time from the Freemius dashboard or by e-mail; cancellation takes effect at the end of the current term, free of charge.
Freemius notifies you before each renewal. If the payment fails, the Licence expires at the end of the paid term.
When it expires, your site keeps working: the settings you made stay in place and the exports stay available. Only the Pro features close, and Pro updates stop.
8. No withdrawal, no refunds
The sale is final. The Licence is digital content delivered immediately after payment: the key is sent and the Pro features open at once. No refund is given, on a first purchase or on a renewal.
By placing the order you expressly request that delivery begin immediately and acknowledge that you thereby lose your right of withdrawal where the law provides one for digital content.
Before buying, try the free version: it runs with no limit on sites or time. An unwanted renewal is avoided by cancelling before the renewal date (section 7). Mandatory rules in your country that grant a right which cannot be waived remain reserved.
9. Updates and support
For the term of the Licence you receive nexya Pro updates. We answer questions by e-mail within a reasonable time, on Swiss business days. Support covers nexya; it does not cover hosting, themes, other plugins or custom development.
We do not guarantee a response time or the resolution of every problem.
10. Software licence
The nexya code is distributed under the GNU GPL, version 2 or later. The Licence does not restrict the rights the GPL grants you; it gives access to updates, to support and to the activation of the Pro features on the agreed number of sites.
The Licence key is personal. It must not be published, shared, resold or used to work around the limits of the tier purchased. A key used in breach of this section may be deactivated without refund.
11. Warranty
For a business buyer, all warranties are excluded to the extent permitted by law. The rest of this section applies only to consumers, where the law guarantees them conformity.
Warranted: what is described on the Site at the time of purchase, in the stated environment — supported WordPress and PHP versions, unmodified plugin. Not warranted: a conflict with a theme, a plugin or a host, a defect in modified code or an outdated version, an unsuitable setting, or an expectation that does not appear on the Site.
A defect must be reported within 30 days of discovery, with what is needed to reproduce it. The only remedy is correction, through an update, within a reasonable time. Mandatory rights that the law of your country grants you and that cannot be waived remain reserved.
For everything else, nexya is provided as is: no warranty of fitness for a particular purpose, uninterrupted operation or compatibility with every environment.
12. Liability
Installing, configuring and updating a plugin on your site is your sole responsibility. Take a backup before you act.
To the extent permitted by law, our liability is limited to the amount paid for the Licence in the twelve months before the damage, and we are not liable for indirect loss: loss of data, revenue, business or goodwill. This limitation does not apply to wilful misconduct or gross negligence, to personal injury, or where the law forbids it.
13. Personal data
The data needed for the order is processed by Freemius, as controller for the transaction, and by us to perform the Licence. Details are in our privacy policy and in the Freemius privacy policy.
14. Changes
We may change the Terms. The version that applies to an order is the one online when the order is placed; the version that applies to a renewal is the one online on the renewal date, sent with the renewal notice. The date at the top of the page shows the last revision.
15. Governing law and jurisdiction
The Terms are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the courts of Orbe, Switzerland, have jurisdiction.
If you are a consumer, the mandatory consumer-protection rules of your country of residence remain reserved, and you may bring proceedings before the courts of your home. Consumers in the European Union may also use the European Commission’s online dispute resolution platform; we are, however, not obliged to take part in mediation.
If a clause is held invalid, the others remain in force. If the language versions differ, the French version prevails.
